BNML advises clients on all aspects of their business, including obtaining required permits and authorizations to operate, formation and structuring of legal entities (companies, corporations, limited partnerships, local branches and etc.), corporate governance, voting rights, distribution and treatment of profits, association and joint venture agreements, foreign investments, business taxation, trade-related issues, and day-to-day legal matters that clients may require while doing business in Venezuela.
BNML advises on a wide range of commercial agreements, including outsourcing, distribution, supply, off take, technology transfer, service, licensing and import/export agreements and contracts related to construction projects.
The firm has also acted as counsel to construction and real estate developers in the preparation of construction and land development agreements, subdivision agreements, share agreements, tax structuring documents, and all other required documentation.
BNML also represents clients at all levels of public and private bidding processes in Venezuela, including necessary due diligence reviews, registration before the registry of contractors, collection of all required documentation, drafting the actual bid proposals, and any related documents.
BNML partners, individually or as members of the firm, have advised:
- Intrafor (subsidiary of Bouygues BTP, France) in the process of establishing a subsidiary and entering in a joint venture agreement to participate in constructions projects in Venezuela.
- Casco Sales Company in establishing a subsidiary to market construction, industrial, and agricultural equipment in Venezuela.
- Gemplus in public bidding process to install a national identification and citizen control system (SINACOC).
- Lexmark International, Inc. in establishing a branch and doing businesses in Venezuela, together with marketing support.
- Imeko Holding in establishing a subsidiary in Venezuela and a joint venture agreement with Productos Lácteos Internacional and Alimentaria International to market consumer dairy products.
- New Market Corporation (Afton Chemical Corporation and Ethyl Corporation) to set up a subsidiary in Venezuela to market chemical and industrial products.
